SERENDIPITY WEBSITE TERMS AND CONDITIONS OF SUPPLY
NOTICE: This page (together with the documents referred to on it) tells you the terms and conditions on which we supply any of the Goods (Goods) listed on our website www.ser-endipity.com (our site) to you. You should read these terms and conditions carefully before ordering any Goods from our site. Please note that by ordering any of our Goods, you agree to be bound by these terms and conditions. You should print a copy of these terms and conditions for future reference.
1 INFORMATION ABOUT US
www.ser-endipity.com is an purchasing agent, which enables end consumer to shop various brands in new conditions or second-hand conditions. These Terms and Conditions of Sale exclusively regulate the offer, transmission and acceptance of purchase orders relating to products on ser-endipity.com between the users of Serendipity and the Vendor.
- OUR BUSINESS POLICY
- The Vendor offers products for sale on ser-endipity.com and its e-commerce business services are available exclusively to its end users, i.e. "end consumer". We reserve the right to only accept orders from those over 18.
- “End Consumer" means any individual who is acting for purposes outside of his or her trade, business or profession. If you are not a "End Consumer", please do not buy any products on ser-endipity.com.
- The Vendor reserves the right not to accept orders received from users who are not "end consumer”.
- These Terms and Conditions of Sale exclusively regulate the offer, transmission and acceptance of purchase orders relating to products on ser-endipity.com between the users of ser-endipity.com and the Vendor.
- The Terms and Conditions do not apply to the provision of services or the sale of products by third parties that are present on ser-endipity.com via links, banners or other hypertext connections. Before placing orders and purchasing products and services from third parties, we recommend that you verify their terms and conditions. Under no circumstances shall the Vendor be deemed liable for the supply of third party services or for the execution of e-commerce transactions between users of ser-endipity.com and third parties.
2 YOUR STATUS
2.1 By placing an order through our site, you warrant that:
2.1.1 you are legally capable of entering into binding contracts; and
2.1.2 you are at least 18 years old;
2.1.3 you agreed the terms and conditions of ser-endipity.com;
2.1.4 you acknowledged Serendipity (www.ser-endipity.com) has no association and /or affiliation with the brands whose items are offered for sale on its website.
2.1.5 you agreed you appointed Serendipity (www.ser-endipity.com) as a purchasing agent that offer to buy goods or on behalf of another party.
2.1.6 you acknowledged the items sold by Serendipity (www.ser-endipity.com) are provided by the vendor which serendipity have no responsibility on the quality controls of the products;
2.1.7 you agreed the authentication is performed independently by Serendipity (www.serendipity.com).
3 HOW TO PLACE AN ORDER AND OUR CONTRACT WITH YOU
3.1 The following Terms and Conditions of Supply govern the offer and sale (together with the documents referred to below, including the Returns Policy and Cookie and Privacy Policy of products on our site. Please read these terms and conditions carefully before ordering any products. You should understand that by ordering any of our products, you agree to be bound by these terms and conditions. The products purchased on our site are directly sold by www.ser-endipity.com(“Serendipity”) (hereinafter referred to as "the Vendor" or "We" or "Us").
3.2 The Contract will relate only to those Goods whose dispatch we have confirmed in the Dispatch Confirmation. We will not be obliged to supply any other Goods which may have been part of your order until the dispatch of such Goods has been confirmed in a separate Dispatch Confirmation.
3.3 To place an order for one or more goods on ser-endipity.com, you must add items to your shopping bag, enter your billing/shipping address, select your delivery option and choose your payment method to complete your order.
3.4 Before proceeding to purchase, we ask that you carefully read the Terms and Conditions and the Return Policy. You may wish to print a copy using the print option and keep it safe for your own personal use.
Before proceeding to purchase your goods, we will provide you with a summary of our commercial and contractual conditions of sale, a summary of the main characteristics of each good ordered and its unit price, the type of payment you may use to purchase each good, shipping methods for the purchased products, shipping and delivery costs.
3.5 On the order confirmation page, we will provide you with a summary of each good ordered, the price and the cost of shipping (including any additional fees you may be charged).
3.6 When you proceed to purchase, you will be required to pay the price indicated therein. Before order completion, you will be asked to identify and correct any possible input errors.
3.7 The order will be entered in our database for the time required to process your order and as stated by law. You may access your order in your account.
3.8 English is the language used for finalising the contract with the Vendor.
3.9 After your order has been placed, serendipity will process your order as a purchasing agent. However, this does not constitute acceptance of your order by the Vendor nor does a contract between you and the Vendor exist at this point in time. The Vendor's acceptance of your order will take place when the Vendor emails you to confirm that the order has been dispatched, at which point a contract will come into existence between you and the Vendor. The acceptance email represents an electronic purchase order receipt and contains the Terms and Conditions, a summary of the Return Policy, and all relevant information relating to your order.
3.10 If the Vendor is unable to accept your order for any reason (including any of the reasons described in section 3.11 or if a product is out of stock), the Vendor will inform you of this.
3.11 The Vendor is also entitled to cancel your order, even after accepting it, in the following circumstances: the Vendor has identified an obvious and unmistakeable error in the price or description of the product; the Vendor suspects illegal or fraudulent activity; the Vendor reserves the right to restrict multiple quantities of an item being shipped to any one customer or postal address; or you have not complied with these Terms and Conditions. If so, the Vendor will notify you as soon as possible of such cancellation and require you to return the products if they have already been delivered to you.
3.12 By placing an order, you unconditionally accept and undertake to observe the provisions of these Terms and Conditions in your contract with the Vendor. Should you not agree with certain provisions of these Terms and Conditions, please do not complete your purchase on ser-endipity.com.
3.13 By placing an order, you agree and accept these Terms and Conditions as well as further conditions contained on ser-endipity.com, including those accessed via links, and including the Terms and Conditions of Use, Privacy Policy and the Return Policy.
4 OUR STATUS
4.1 Please note that in some cases, we accept orders as agents on behalf of third party sellers. The resulting legal contract is between you and that third party seller, and is subject to the terms and conditions of that third party seller, which they will advise you of directly. You should carefully review their terms and conditions applying to the transaction.
4.2 We may also provide links on our site to the websites of other companies, whether affiliated with us or not. We cannot give any undertaking, that products you purchase from third party sellers through our site, or from companies to whose website we have provided a link on our site, will be of satisfactory quality, and any such warranties are DISCLAIMED by us absolutely. This DISCLAIMER does not affect your statutory rights against the third party seller. We will notify you when a third party is involved in a transaction, and we may disclose your customer information related to that transaction to the third party seller.
5 CONSUMER RIGHTS
5.1 If you are contracting as a end consumer, you may cancel a Contract for full priced and new goods at any time within fourteen working days, beginning on the day after you received the Goods. In this case, you will receive a full refund of the price paid for the Goods in accordance with our refunds policy (set out in clause 9 below).
5.2 To cancel a Contract, you must inform us in writing. You must also return the Goods to us immediately (informing us in writing of your intention to return the Goods prior to postage). Failure to inform us in writing of your intention to return the Goods prior to postage may result in a delay in the process under clause 9.
5.3 Upon us receiving notification of your intention to return the Goods, we shall contact you with further instructions on how to proceed with your return.
5.4 You must return the Goods in the same condition in which you received them and at your own cost and risk (we recommend that the Goods be returned via recorded and/or special delivery). The returned Goods should be in their original packaging, in unused and resalable condition and should be accompanied by all corresponding order details. You have a legal obligation to take reasonable care of the Goods while they are in your possession. If you fail to comply with this obligation, we may have a right of action against you for compensation.
5.5 You will not have any right to cancel a Contract for the supply of any Goods constituting underwear and jewelry, swimwear, footwear, accessories.
5.6 You will not have any right to cancel a Contract for the supply of any Goods constituting clearance, discounted, seconds or display items.
5.7 Details of this statutory right, and an explanation of how to exercise it, are provided in the Dispatch Confirmation. This provision does not affect your statutory rights.
6 AVAILABILITY AND DELIVERY
Your order will be fulfilled by the delivery date set out in the Dispatch Confirmation or, if no delivery date is specified, then within a reasonable time of the date of the Dispatch Confirmation, unless there are exceptional circumstances.
7 RISK AND TITLE
7.1 The Goods will be at your risk from the time of delivery.
7.2 Ownership of the Goods will only pass to you when we receive full payment of all sums due in respect of the Goods, including delivery charges.
8 COMMISSIONS, PRICE AND PAYMENT
8.1 The price of any Goods will be as quoted on our site from time to time, except in cases of obvious error.
8.2 These prices include purchasing commissions, duties and taxes handling fees (whenever applicable) but exclude delivery costs, which will be added to the total amount due as set out in our Delivery Guide.
8.3 Prices are liable to change at any time, but changes will not affect orders in respect of which we have already sent you a Dispatch Confirmation.
8.4 Our site contains a large number of Goods and it is always possible that, despite our best efforts, some of the Goods listed on our site may be incorrectly priced. We will normally verify prices as part of our dispatch procedures so that, where the correct price of the Goods is less than our stated price, we will charge the lower amount when dispatching the Goods to you. If the correct price of the Goods is higher than the price stated on our site, we will normally, at our discretion, either contact you for instructions before dispatching the Goods, or reject your order and notify you of such rejection.
8.5 We are under no obligation to provide the Goods to you at the incorrect (lower) price, even after we have sent you a Dispatch Confirmation, if the pricing error is obvious and unmistakable and could have reasonably been recognized by you as a mispricing.
8.6 The services on offer by Serendipity shall be remunerated by a Commission that Serendipity shall deduct from the Price of the Product paid by the consumer. The Commission taken by Serendipity shall correspond to the sum paid for each Transaction to Serendipity by the consumer, in return for the intermediation services between vendor and consumer, and where applicable for checking and dispatching the Products. This Commission shall be included in the sale Price of the Product as shown on the Web Site.
8A PROMOTIONS AND CODES
Serendipity occasionally offers promotional codes to loyal customers.
When attempting to apply these codes, please note that some conditions apply:
8A.1 The promotional codes have no monetary value, are non-transferable, non-exchangeable and cannot be converted into currency.
8A.2 Items previously discounted (i.e sale items) may not be eligible for further discount, unless stated otherwise.
8A.3 For orders containing multiple items, the discount provided will be distributed amongst all eligible items, unless stated otherwise.
8A.4 Discounted items and Second-hand Items purchased with promotional codes are not eligible for any return and refund.
8A.5 Some promotional codes may only be eligible when spending over a specific threshold. If you later decide to return part of your order and the new total order value falls below the mentioned threshold, you will no longer be eligible for this promotion and the total refund value will be recalculated accordingly. If for any reason you wish to return a full priced and new item to which you applied the promotional code, you should follow the standard return procedure, as described in the Return Policy. Once your return has been accepted, The difference in price between the promotional code and the item you purchased will be reimbursed, according to the time frame of the applicable refund procedure. Any promotional code value is not eligible for refund.
8A.6 If a code is invalid or expired, a replacement will not be issued.
8A.7 Only one code may be applied per order.
Serendipity reserves the right to modify or terminate a promotion at any time.
Additional terms and conditions may apply to individual promotions from time to time, and Serendipity will advise you of those where applicable.

8B PRIVATE SALE
8B.1 Private Sale promotions are made available to selected customers.
8B.2 These promotions are only applicable to select merchandise marked “Private Sale” and cannot be used in conjunction with any other item that is already on sale, or any applicable rebate, discount offer, or promotional code, unless stated otherwise.
8B.3 Offer can be terminated, changed, or extended at Serendipity's discretion.
8B.4 Offer applicable for eligible customers who have received the Private Sale invitation.
8B.5 This offer can only be redeemed online.
8B.6 Serendipity reserves the right, at its sole and absolute discretion, to refuse or cancel any order for reasons related to fraud, abuse, or for any other reason.
8B.7 Offer not applicable to shipping fees.
8B.8 Offer cannot be applied to past transactions.
8B.9 The goods purchased from the Private Sale may not include complete packaging (hang tag, dust bag, authenticity card).
8B.10 A minority of goods purchased from the Private Sale may have minor defects which is under acceptable quality standards.
9 RETURN & REFUND POLICY
9.1 When you return a Full Priced good to us:
9.1.1 because you are a consumer and have cancelled the Contract between us within the seven-day cooling-off period (see clause 5.1), we will process the refund due to you as soon as possible and, in any case, within 30 days of the day you have given notice of your cancellation. In this case, we will refund the price of the Goods in excluding the cost of sending the item to you (shipping costs, duties and taxes handling fees). However, you will be responsible for the cost of returning the item to us;
9.1.2 for any other reason (for instance, because you have notified us in accordance with clause 20 that you do not agree to any changes in these terms and conditions or in any of our policies, or because you claim that the Goods are defective), we will examine the returned Goods and will notify you of your refund via email within a reasonable period of time. We will usually process the refund due to you as soon as possible and, in any case, within 30 days of the day we confirmed to you via email that you were entitled to a refund for the defective Goods. Full priced good returned by you because of a defect will be refunded in full, including a refund of the delivery charges for sending the item to you and the reasonable costs incurred by you in returning the item to us (if any and provided that you have returned the item(s) to us by recorded and/or special delivery); and
9.1.3 Goods that have been personalized will not be refunded or exchanged in any circumstances.
9.2 We will usually refund any money received from you using the same method originally used by you to pay for your purchase. Where payment has been made by credit or debit card, we will refund the payment to the credit or debit card used to purchase the Goods.
9.3 Some promotional codes may only be eligible when spending over a specific threshold. If you later decide to return part of your order and the new total order value falls below the mentioned threshold, you will no longer be eligible for this promotion and the total refund value will be recalculated accordingly.
9.4 Shipping costs, duties and taxes handling fees, any duties and taxes will not be refunded.
10 OUR LIABILITY
10.1 We warrant to you that any Goods purchased from us through our site are of satisfactory quality and reasonably fit for all the purposes for which Goods of the kind are commonly supplied.
10.2 Subject to clause 10.5, our liability for losses you suffer as a result of us breaking this agreement, including deliberate breaches, is strictly limited to the purchase price of the Goods you purchased and any losses which are a foreseeable consequence of us breaking the agreement. Losses are foreseeable where they could be contemplated by you and us at the time your order is accepted by us.
10.3 Subject to clause 10.5, we are not responsible for indirect losses which happen as a side effect of the main loss or damage, including but not limited to:
10.3.1 loss of income or revenue;
10.3.2 loss of business;
10.3.3 loss of profits or contracts;
10.3.4 loss of anticipated savings;
10.3.5 loss of data; or
10.3.6 waste of management or office time however arising and whether caused by tort (including negligence), breach of contract or otherwise, provided that this clause 10.3 shall not prevent claims for loss of or damage to your tangible property that fall within the terms of clause 10.1 or clause
10.2 or any other claims for direct financial loss that are not excluded by any of the categories 10.3.1 to 10.3.6 inclusive of this clause 10.3.10.3.7 shall not prevent claims for loss of or damage to your tangible property that fall within the terms of clause
10.4 Where you buy any Goods from a third party seller through our site, the seller’s individual liability will be set out in the seller’s terms and conditions.
10.5 Nothing in these terms and conditions excludes or limit in any way our liability:
10.5.1 for death or personal injury caused by our negligence;
10.5.2 under section 2(3) of the Consumer Protection Act 1987;
10.5.3 for fraud or fraudulent misrepresentation; or
10.5.4 for any matter for which it would be illegal and/or unlawful for us to exclude, or attempt to exclude, our liability.
11 IMPORT DUTY
11.1 If you order Goods from our site may be subject to import duties and taxes which are levied when the delivery reaches the specified destination. You will be responsible for payment of any such import duties and taxes. Please note that we have no control over these charges and cannot predict their amount. Please contact your local customs office for further information before placing your order.
11.2 Please also note that you must comply with all applicable laws and regulations of the country for which the Goods are destined. We will not be liable for any breach by you of any such laws.
11.3 In certain cases, serendipity compensated part of the duties and taxes for consumer who purchased a duties and taxes handling service from our site. The duties and taxes handling fees services do not guarantee the exact duties and taxes when the goods arrive at the final destinations.You may responsible for payment of any such import duties and taxes. Please note that we have no control over these charges and cannot predict their amount. Please contact your local customs office for further information before placing your order.
12 WRITTEN COMMUNICATIONS
Applicable laws require that some of the information or communications we send to you should be in writing. When using our site, you accept that communication with us will be mainly electronic. We will contact you by email or provide you with information by posting notices on our site. For contractual purposes, you agree to this electronic means of communication and you acknowledge that all contracts, notices, information and other communications that we provide to you electronically comply with any legal requirements that such communications be in writing. This condition does not affect your statutory rights.
13 NOTICES
We may give notice to you at either the email or postal address you provide to us when placing an order on the Site. Notice will be deemed received and properly served immediately when posted on our site, 24 hours after an email is sent, or three days after the date of posting of any letter. In proving the service of any notice, it will be sufficient to prove, in the case of a letter, that such letter was properly addressed, stamped and placed in the post and, in the case of an email that such email was sent to the specified email address of the addressee.
14 TRANSFER OF RIGHTS AND OBLIGATIONS
14.1 The Contract between you and us is binding on you and us and on our respective successors and assigns.
14.2 You may not transfer, assign, charge or otherwise dispose of a Contract, or any of your rights or obligations arising under it, without our prior written consent.
14.3 We may transfer, assign, charge, sub-contract or otherwise dispose of a Contract, or any of our rights or obligations arising under it, at any time during the term of the Contract.
15 EVENTS OUTSIDE OUR CONTROL
15.1 We reserve the right to defer the date of delivery of or to cancel the Contract (without liability to you) if we are prevented from or delayed in the carrying on of our business due to any event of force majeure, provided that, if the event in question continues for a continuous period in excess of 60 days, you shall be entitled to give notice in writing to us to terminate the Contract.
15.2 In these terms and conditions an event of force majeure shall include (without limitation) Act of God, war, threat of war or national emergency, acts of terrorism, protests, riot, civil commotion, fire, explosion, tempest, flood, adverse weather conditions, epidemic, accident, acts or omissions on the part of any governmental or local authority or highways authority or public telecommunications, import or export regulations or embargoes, disruption of power supply, lock-outs, strikes or other labour disputes, or restraints or delays affecting carriers or any default of any of our vendors.
15.3 Our performance under any Contract is deemed to be suspended for the period that an event of force majeure continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavours to bring the event of force majeure to a close or to find a solution by which our obligations under the Contract may be performed despite the event of force majeure.
16 WAIVER
16.1 Failure or delay by us in enforcing or partially enforcing any provision of the Contract shall not be construed as a waiver of any of our rights under the Contract.
16.2 Any waiver by us of any breach of, or any default under, any provision of the Contract shall not be construed as a waiver of any subsequent breach or default and shall in no way affect the other terms of the Contract.
17 SEVERABILITY
If any of these terms and conditions or any provisions of a Contract are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.
18 ENTIRE AGREEMENT
These terms and conditions and any document expressly referred to in them represent the entire agreement between us in relation to the subject matter of any Contract and supersede any prior agreement, understanding or arrangement between us, whether oral or in writing.
19 RIGHTS OF THIRD PARTIES
The parties to the Contract do not intend that any term of the Contract shall be enforceable by virtue of the Contracts (Rights of Third Parties) by any person who is not a party to it.
20 OUR RIGHT TO VARY THESE TERMS AND CONDITIONS
These terms and conditions shall be governed by and construed in accordance with Hong Kong law. Disputes arising in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
21 GOVERNING LAW AND JURISDICTION
These terms and conditions shall be governed by and construed in accordance with Hong Kong law. Disputes arising in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
22 DATA PROTECTION
You agree that we may use Personal information provided by you in order to conduct appropriate anti fraud checks. Personal Information that you provide may be disclosed to a credit reference or fraud prevention agency, which may keep a record of that information.
23 ACCESS TO AND USE OF THE SITE AND ITS SERVICES
23.1 Serendipity strives to keep the Site accessible to Customers 24/7 unless otherwise specified. However, please note that Serendipity may occasionally suspend the service wholly or partially temporarily for technical reasons (including for maintenance purposes) without being liable to Customers.
23.2 In addition, Serendipity cannot be held responsible for:
- any exceptional circumstances such as, but not limited to, an event constituting force majeure or due to a third party;
- any technical harm related to and including programs, hardware, software or the Internet.
24. REGISTRATION ON THIS SITE
24.1 REGISTRATION BY CUSTOMERS
24.1.1 Customers may choose to create a Customer Account.
24.1.2 Customers undertake to provide all the information requested from them with accuracy and sincerity. Customers agree to update their information regularly in order to be as up-to-date as possible on the Site.
24.1.3 The Customer undertakes to refrain from any infringement of the rights of third parties.
24.2 VALIDITY OF INFORMATION
24.2.1 Customers agree to:
- deliver real, accurate, current information at the moment of their order and in particular not to use false names or addresses, or names or addresses without authorization;
- keep up to date the information provided to ensure accuracy of the service;
- not make available or distribute any unlawful, reprehensible (such as defamatory or racist information) or harmful (such as viruses) content in violation of applicable law.
24.2.2 In case of a breach of these provisions, Serendipity may suspend or terminate the access of a Customer to Serendipity's services.
24.2.3 When a Customer adds information on their Customer Account, it claims to be the rightful owner of the information provided or is duly authorized to make public, as well as being in position to accept these present terms.
25. PRICING
25.1 The use of this Site as a Customer is free.
25.2 However, this Site enables Customers to buy goods online. With regard to the sale of those goods, specific conditions are set out in our Terms & Conditions.
26. USE OF CONTENT
26.1 Serendipity grants you a personal, non-exclusive, non-transferable, revocable, limited licence, strictly to do the following only, for your personal, non-commercial use, to view; reproduce; print; cache; store; and distribute content retrieved from this Site via a generally available consumer web browser. The foregoing licence is granted on the condition that you comply with the restrictions on use described in these Terms and Conditions of Use and that you do not (and do not permit any third party to) remove or obscure the copyright notice or other notices displayed on such content. 26.3 Except as expressly provided in these Terms and Conditions of Use, nothing in these Terms and Conditions of Use or on this Site shall be construed as conferring any other licence or right (whether expressly, by implication or otherwise) with respect to any intellectual property rights belonging to Serendipity and/or its licensors. All rights not expressly granted herein are reserved.
27. COPYRIGHTS AND INTELLECTUAL PROPERTY
27.1 The contents of this Site including text, presentations, illustrations, photographs, arborescences, graphics and HTML codes are the exclusive property the brand owner or the copyright holder.
27.2 As such, representation, reproduction, nesting, distribution and redistribution, partial or total, is prohibited.
27.3 Any person, entity or group doing so without being able to prove the express consent of the copyright holder will incur the penalties for copyright infringement under applicable law.
28. BRANDS AND DOMAIN NAMES
28.1 The trademarks, logos and domain names on this Site are trademarks of Serendipity, or possibly one of its partners.
28.2 As such, any person, entity or group making any representation, reproduction, nesting, distribution or redistribution may incur the penalties provided under applicable law.
